General terms

General terms and conditions

Terms applicable to the fiduciary, tax and accounting services offered by Veltica Finance. This translation is provided for information only; the French version is authoritative.

1. Purpose

These General Terms and Conditions (GTC) govern the contractual relationship between Veltica Finance SA (hereinafter “Veltica”) and any natural person or legal entity (hereinafter “the Client”) subscribing to a service offered by Veltica via the veltica.ch website or through any other channel.

2. Services offered

Veltica offers fiduciary, tax, accounting and advisory services, described on the veltica.ch website and specified in the quote sent to the Client before any order.

3. Order and acceptance

The order is deemed accepted by the Client once the quote has been signed or validated online. Acceptance entails unreserved agreement to these GTC.

4. Prices

Prices are stated in Swiss francs (CHF). Veltica reserves the right to change its prices at any time; services in progress are invoiced at the price in force on the day of the order. Prices for an individual tax return start at CHF 70.–, depending on the complexity of the file.

5. Payment terms

Unless specifically agreed otherwise, invoices are payable within 30 days net. Any late payment entails, without prior formal notice, default interest at the Swiss statutory rate (currently 5%) as well as reminder fees.

6. Client's obligations

The Client undertakes to provide Veltica, within the agreed deadlines, with all the documents and information required to perform the service. Veltica cannot be held liable for delays or errors resulting from incomplete or inaccurate information provided by the Client.

7. Veltica's obligations

Veltica undertakes to perform the services with the diligence of a qualified professional, in accordance with professional standards and the legal provisions in force. Veltica is bound by a duty of best efforts, not an obligation to achieve a particular result.

8. Confidentiality

Veltica undertakes to keep all information provided by the Client strictly confidential, in accordance with the professional secrecy applicable to Swiss fiduciaries.

9. Liability

Veltica's liability is limited to the amount of fees received for the service concerned, except in cases of gross negligence or wilful misconduct. Veltica cannot be held liable for the tax or accounting consequences of decisions taken by the Client contrary to its recommendations.

10. Termination

Either party may terminate the contract by giving 30 days' written notice. In the event of termination, the Client remains liable to pay for the services performed up to the effective date of termination.

11. Applicable law and jurisdiction

These GTC are governed by Swiss law. Any dispute relating to their interpretation or performance falls under the exclusive jurisdiction of the courts of the canton of Vaud, in Lausanne.
